Welcome to Di Valente. "We," "us," and "our" refer to Di Valente. Di Valente operates this store and website, including its related content, features, tools, products, and services (the "Services"). Di Valente is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with our Return Policy and Privacy Policy, govern your use of the Services. Please read them carefully — they include important information about your legal rights, including warranty disclaimers and limits on liability.

By visiting, browsing, or using our Services, you agree to these Terms of Service and our Privacy Policy. If you don't agree, please don't use the Services.

1. Access and Account

5. Shipping and Delivery

Delivery estimates are just that — estimates, not guarantees. We're not responsible for delays caused by carriers, customs, or events outside our control.

Once an order is handed to the carrier, risk of loss and title transfer to you, to the extent permitted by law.

Nothing here grants you rights to any Di Valente, Shopify, or third-party trademark, patent, or copyright except as expressly stated. Our names, logos, and designs may not be used without written permission. Shopify's name, logo, and trademarks belong to Shopify.

7. Optional Third-Party Tools

We may offer access to third-party tools as part of the Services. We don't control these tools and provide them "as is," without warranty or endorsement. Use of any third-party tool is at your own risk — review that provider's terms before use. We have no liability arising from your use of optional third-party tools.

8. Third-Party Links

The Services may link to third-party sites. We don't review or control that content and aren't responsible for any harm arising from your use of it. Visiting third-party sites is at your own risk — review their policies before making a purchase or transaction there.

9. Relationship with Shopify

Di Valente is powered by Shopify, which enables us to operate the Services. All sales are made directly between you and Di Valente — Shopify is not a party to those transactions and isn't responsible for products, orders, or any injury, damage, or loss arising from them. You release Shopify and its affiliates from claims related to your purchases with Di Valente.

10. Privacy

Your personal information is handled under our Privacy Policy. Because our Services run on Shopify's platform, Shopify also collects and processes certain information to provide and improve its own services, as described in Shopify's Privacy Policy. Information you submit may be shared with Shopify and other service providers, including those located in other countries, as needed to provide the Services.

11. Feedback

If you send us feedback, ideas, or suggestions ("Feedback"), you grant us a permanent, worldwide, sublicensable, royalty-free license to use, reproduce, modify, and distribute it for any purpose, including commercial use.

You confirm that you own or have the rights to share your Feedback, that you've disclosed any compensation received for it, and that it won't violate any third party's rights or contain unlawful, abusive, or misleading content. We're not obligated to keep Feedback confidential, compensate you for it, or respond to it, and we take no responsibility for Feedback submitted by you or others.

An Agent may not access the Services unless it clearly identifies itself as an Agent in its requests, does not conceal or mimic human behavior, does not attempt to bypass CAPTCHAs or similar measures, responds truthfully about whether it is automated, and does not circumvent any measure intended to control Agent access. We may limit how Agents interact with the Services at our discretion, including where we've asked a specific Agent to stop.

We may suspend or terminate your access to the Services at our discretion, without notice, subject to applicable law. You remain responsible for any amounts owed as of termination.

The following sections survive termination: Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver and Entire Agreement, Assignment, Governing Law, Privacy, and any other provision that by its nature should continue to apply.

EXCEPT AS EXPRESSLY STATED BY DI VALENTE, THE SERVICES AND PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED — INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DI VALENTE, ITS PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND SERVICE PROVIDERS — ALONG WITH SHOPIFY AND ITS AFFILIATES — ARE NOT LIABLE FOR ANY INJURY, LOSS, OR DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA), WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCT PURCHASED THROUGH THEM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

18. Indemnification

You agree to indemnify, defend, and hold harmless Di Valente, Shopify, and their affiliates, partners, officers, directors, employees, agents, contractors, and service providers from any claims, damages, liabilities, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your violation of any law or third-party right, or your use of the Services.

We'll notify you of any claim covered by this section — a delay in notice won't excuse your obligations unless it materially prejudices your defense. We may control the defense and settlement of such a claim at your expense, including choice of counsel, but we won't settle in a way that requires a non-monetary obligation from you without your consent (not to be unreasonably withheld). You agree to cooperate with the defense, including by providing relevant documentation.

19. Severability

If any part of these Terms is found unlawful, void, or unenforceable, that part will be enforced to the fullest extent permitted by law and severed as needed, without affecting the validity of the remaining provisions.

20. Waiver and Entire Agreement

Our failure to enforce a provision doesn't waive our right to do so later. These Terms, along with our posted policies, make up the complete agreement between you and Di Valente regarding use of the Services, and supersede any prior agreements or communications on the same subject.

Any ambiguity in interpreting these Terms will not be construed against Di Valente simply because we drafted them.

21. Assignment

You may not transfer your rights or obligations under these Terms without our written consent; any attempt to do so is void. We may transfer or assign our rights and obligations without notice to you, subject to applicable law.

22. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles, except where applicable law requires otherwise. You and Di Valente consent to the jurisdiction of the state and federal courts located in Virginia, subject to applicable law.

For customers located outside the United States — including the European Union — mandatory consumer protection laws of your country of residence may also apply and are not limited by this section.

23. Changes to These Terms

You can review the most current version of these Terms at any time on this page. We may update, change, or replace any part of these Terms by posting changes to our website. It's your responsibility to check this page periodically. We'll notify you of material changes as required by applicable law. Your continued use of the Services after changes are posted constitutes acceptance of those changes, to the extent permitted by applicable law.
